STANDARD DISTRIBUTOR TERMS and CONDITIONS

PAYMENT TERMS:
Standard terms are net 30 days, no cash discounts for early payments. Any invoice not paid within 30 days will be considered delinquent, and all in-house orders and future orders may be placed on hold until delinquent invoices are paid. A 2% per month penalty charge or the highest interest rate permitted by applicable law, whichever is less, will be assessed on all balances not paid within 30 days.

PRICE CHANGES:
Prices and packaging are subject to change upon notice to CUSTOMER’S designated pricing contact. PFERD is not responsible for incorrect information due to printing or typographical errors.

FREIGHT TERMS:
Orders having a net value of $1,200 or more will be shipped prepaid. For blanket orders, each release must have a net order value of $1,200 to qualify for prepaid freight. All shipments will be made via routing of our choice. Requests for more costly transportation routing will result in such items being shipped collect or prepaid and charged on the invoice from the shipping location. Orders with destinations in AK and HI with a net value of $1,700 or more will be freight prepaid (F.O.B. Destination) via routing of our choice. Shipments to foreign countries and/or U.S. territories with a net value of $1,200 U.S. or more will be prepaid to a U.S. continental port of exit.

Online orders:
If you submit your order via your customer account on https://us.pferd.com, orders that have a net value of $800 or more will be shipped prepaid. For blanket orders, each release must have a net order value of $800 to qualify for prepaid freight. All shipments will be made via routing of our choice. Requests for more costly transportation routing will result in such items being shipped collect or prepaid and charged on the invoice from the shipping location. Shipments to foreign countries and/or U.S. territories with a net value of $800 U.S. or more will be prepaid to a U.S. continental port of exit.

CLAIMS:
Claims for shortage, damage or loss must be made within 30 days of invoice date. Any noticeable damage or loss claims must be made prior to signed authorization of return shipment.

RETURNED MERCHANDISE:
Material may be returned only after a Return Goods Authorization (RGA) number is obtained from PFERD Customer Service. The material must then be returned prepaid to the location designated by PFERD. All goods must be in original factory packaging, of current design and manufacture, and in resalable condition as ascertained by our inspection department. Goods may be returned only in the amounts specified in the RGA. All approved returns must be received by PFERD within 30 days after RGA is obtained. All returns may be subject to a minimum 15% handling charge or an offsetting order for 150% of the value of the authorized returned goods. Reconditioning costs will be deducted from the amount to be credited. We will allow credit at the prices in effect at the time of the invoice. No return will be authorized if the merchandise is held for a period of more than six months. Non-catalog (special) items cannot be returned.

WARRANTY:
Goods furnished hereunder are warranted to be free from defects in material and workmanship for a period of six months after sale and delivery. SELLER, at its own expense and option, will either repair or replace any defective goods provided that CUSTOMER has notified SELLER within the applicable six-month period (one year for power tools) and, upon inspection, SELLER has found the goods to be defective. CUSTOMER’s sole and exclusive remedy hereunder shall be limited to such repair or replacement. The warranties contained hereunder are in lieu of all warranties of any kind, either express or implied, including but not limited to, any warranty of merchantability or fitness for a particular purpose and any warranty arising out of course of dealing or usage in trade. Statements, oral or written, by SELLER or its representatives or others do not constitute warranties and shall not be relied upon by CUSTOMER and are not a part of these standard terms. CUSTOMER agrees that SELLER shall not be liable for CUSTOMER’S direct or indirect negligence, misuse or failure to follow SELLER’s instructions. SELLER shall not be liable for the loss of profit or revenue, incidental or indirect, consequential, punitive, exemplary or special damages, however caused on any theory of liability and whether or not CUSTOMER has been advised of the possibility of such damages. SELLER shall be responsible only for the cost of repair or replacement of the defective product.

ORDERING:
Specify pricing and EDP numbers when ordering to promote efficiency, eliminate errors and expedite processing and shipping. Shelf pack quantity orders are required.

CLOSEOUT ITEMS:
Items discontinued from SELLER’S tool manual may be available as ‘closeout’ items with discounted pricing and available on a first come, first serve basis. A list of the ‘closeout’ items will be published separately and available upon request. Pricing is effective for the available inventory in PFERD’s warehouse at time of purchase. Sale price will be calculated by using the ‘closeout’ price less the agreed upon CUSTOMER discount. Closeout items are non-returnable and non-refundable.

SPECIAL ORDER/NON-CATALOG ITEMS:
We will be unable to accept cancellation for special CUSTOMER orders without charge and CUSTOMER is responsible for purchasing all existing inventory should CUSTOMER discontinue purchasing special order product. Additional tooling or other costs resulting from CUSTOMER special order requests are the responsibility of CUSTOMER and will be added to the cost of the product or billed separately.

WARNING:
All abrasives and brushes listed in PFERD catalogs and literature may be dangerous and shall be used strictly in accordance with applicable law, including without limitation safety regulations set by OSHA, and the directives described by the American National Standards Institute B7.1, B165.1, Z787-1 and the American Brush Manufacturers Association covering maximum safe speed of brushes, the use of safety guards, eye and face protection, flanges and mounting procedures. Anyone purchasing or using any PFERD products must be familiar with and acknowledge the above risks and safety regulations before purchasing, using or permitting use of the product.
